Stanley Baum is an acknowledged expert in all aspects of ERISA, employee benefits, executive compensation, employment and tax law. Throughout his more than 20 years of experience, Mr. Baum has advised large financial institutions, leading corporations, medium-sized companies and prominent individuals. He has provided counsel and support on a broad range of matters, including:
- ERISA and tax issues pertaining to hedge funds and other collective investment vehicles
- Operations and updating of qualified retirement and other employee benefit plans
- Golden parachutes and other executive compensation
- ERISA fiduciary duties and responsibilities, prohibited transactions and related exemptions, plan asset rules, ERISA reporting and other compliance and Title I matters
- Litigation of benefit claims and allegations of breach of ERISA fiduciary duty
- Family Medical and Leave Act
In serving clients, he also assists with in designing, drafting and reviewing employee benefit plans; offer, employment and separation agreements; preparing employee handbooks and employment policies; and trust and investment management agreements.
Mr. Baum writes extensively on ERISA, employee benefits, employment and tax topics, publishing articles in well-known publications such as the Journal of Taxation, Journal of Pension Planning, and the National Law Journal. He is also recognized in Whos Who in America, Whos Who in American Law and Whos Who in Finance and Industry.
Selected Key Matters
- Advised regarding termination of and payout under a deferred compensation plan to avoid penalties under Code Section 409A
- Counseled a large telephone company on how to reduce retiree health care benefits
- Successfully defended clients in a federal court action against claims of breaches of fiduciary duty and other ERISA violations
- Assisted a large financial institution in establishing various collective investment vehicles, each with a minimum of $1 billion of retirement plan funds
- Overcame significant pension funding and retiree healthcare issues to enable company to obtain needed financing
- Redrafted all prototype qualified retirement plans and related documents of a large financial institution, greatly improving effectiveness and ease of use
